| dc.description.abstract | วิทยานิพนธ์ฉบับนี้วัตถุประสงค์ในการศึกษากฎหมายที่เกี่ยวข้องกับการเข้าจดทะเบียนกับตลาดหลักทรัพย์แห่งประเทศไทยโดยอ้อม เพื่อให้ผู้ที่ต้องการนำบริษัทเข้าจดทะเบียนกับตลาดหลักทรัพย์แห่งประเทศไทยใช้เป็นข้อมูลประกอบการตัดสินใจเลือกรูปแบบการเข้าจดทะเบีบนกับตลาดหลักทรัพย์ และอีกประเด็นที่ผู้เขียนสนใจศึกษาคือ หลักเกณฑ์การเข้าจดทะเบียนกับตลาดหลักทรัพย์โดยอ้อมของประเทศไทย และ ต่างประเทศเพื่อหาแนวทางในการแก้ไข และนำมาปรับใช้ให้เหมาะสมกับบริบทที่เกิดขึ้นในตลาดหลักทรัพย์แห่งประเทศไทย โดยศึกษากรณีปัญหาที่เกิดขึ้นต่างๆจากบริษัทที่จดทะเบียนกับตลาดหลักทรัพย์โดยอ้อมในประเทศไทย จากการศึกษาพบว่าการเข้าจดทะเบียนกับตลาดหลักทรัพย์แห่งประเทศไทยทั้งสองรูปแบบมีข้อดีและข้อเสียที่แตกต่างกันแล้วแต่ว่าสถานะการณ์และความพร้อมทางธุรกิจจะเอื้ออำนวยให้บริษัทที่ต้องการเข้าจดทะทะเบียนกับตลาดหลักทรัพย์ใช้วิธีการใดในการเข้าจดทะเบียนกับตลาดหลักทรัพย์ แต่อย่างไรก็ตามหลักเกณฑ์การเข้าจดทะเบียนกับตลาดหลักทรัพย์ยังเปิดช่องให้มีการหลบเลี่ยงการตรวจจับบริษัทที่เข้าเกณฑ์การจดทะเบียนกับตลาดหลักทรัพย์โดยอ้อม ทั้งหลักเกณฑ์การเข้าจดทะเบียนกับตลาดหลักทรัพย์โดยอ้อมในประเทศไทยยังคงเปิดช่องทางให้บริษัทที่มีความต้องการเข้ามาหาประโยชน์จากความน่าเชื่อถือของบริษัทที่จดทะเบียนในตลาดหลักทรัพย์ และ ใช้การเป็นบริษัทที่จดทะเบียนกับตลาดหลักทรัพย์ในการแสวงหาประโยชน์อันมิชอบ โดยมิได้ต้องการเข้ามาป็นบริษัทที่ต้องการระดมทุนจากประชาชนเพื่อหวังประโยชน์ในการขยายธุรกิจให้เติบโตมีความเจริญก้าวหน้าต่อไป โดยผู้เขียนขอนำเสนอหลักเกณฑ์เกี่ยวกับการแก้ไขเปลี่ยนแปลงเกณฑ์การตรวจจับการได้มาซึ่งสินทรัพย์ของบริษัทที่จดทะเบียนกับตลาดหลักทรัพย์แห่งประเทศไทยที่ถือว่าเป็นการเข้าจดทะเบียนกับตลาดลักทรัพย์โดยอ้อม รวมถึงหลักเกณฑ์การควบคุมบริษัทที่เข้ามาเป็นบริษัทที่จดทะเบียนกับตลาดหลักทรัพย์แห่งประเทศไทย โดยการเข้าจดทะเบียนกับตลาดหลักทรัพย์โดยอ้อม | th |
| dc.description.abstract | The purpose of this thesis is to study laws relevant to backdoor listing in order to provide information for making decisions by applicants for selecting registration methods for their companies with the Stock Exchange of Thailand (SET). Another issue that the author was interested in the criteria of backdoor listing in Thailand and other countries in order to find and apply guidelines to the context of SET. The case studies are the problems of the companies using the backdoor listing method. It was found that both types of the registrations with SET have different advantages and disadvantages depending on situations and readiness. However, the criteria still provided opportunities for companies to avoid being detected as ones using the backdoor listing method. The criteria in Thailand still provided opportunities for companies to exploit the reliabilities of the companies registered with SET and illegally use benefits from being registered with SET without raising funds from people in order to expand their businesses. The author provided suggestions for adjusting the criteria for checking the acquisitions of the properties of the companies registered with SET by using the backdoor listing method as well as the criteria for controlling companies registering with SET by using this method. | th |
